Shop It – Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of Shop It, including our mobile app, website at shopit.store, and any related services (collectively, the "Services"). By creating an account, placing an order, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Eligibility & Your Account

You must be at least 18 years old to use Shop It, or have the consent of a parent or legal guardian. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@shopit.store if you suspect unauthorized access.

3. The Shop It Marketplace

Shop It is a social commerce marketplace that connects shoppers with independent merchants. Products are sold by the merchants who list them, not by Shop It. When you place an order, you are entering into a transaction directly with that merchant. Shop It facilitates product discovery, order placement, and payment processing through our merchant partners on the Shopify platform.

Each merchant operates their own storefront and is responsible for product quality, accuracy of listings, inventory availability, shipping, and customer service for orders they fulfill.

4. Orders, Payment, and Pricing

All orders are processed through Shopify's secure checkout. Pricing, taxes, and any applicable fees are displayed at checkout before you complete your purchase. Payment terms, accepted methods, and order confirmation are governed by Shopify's checkout flow.

Each merchant maintains a separate cart and checkout. Items from different merchants must be purchased in separate transactions.

We reserve the right to refuse, cancel, or limit any order at our discretion, including in cases of suspected fraud, pricing errors, or violations of these Terms.

5. Shipping & Delivery

Shipping is fulfilled by the merchant from whom you purchased. Shipping times, methods, and costs vary by merchant and are displayed at checkout. Delivery estimates are not guaranteed. Shop It is not liable for delays caused by carriers, weather, supply shortages, or other factors outside our control.

6. Returns & Refunds

Return and refund policies are set by each merchant. Please review the applicable merchant's return policy before purchasing. For damaged, defective, or incorrect items, contact support@shopit.store and we will help coordinate with the merchant. Refunds are issued by the merchant through Shopify's payment system.

7. Gift Cards

Shop It allows users to send and receive gift cards. Gift cards have no cash value, are non-refundable, and cannot be exchanged for cash except where required by law. Gift cards may expire if not redeemed within the period specified at purchase. Lost or stolen gift cards will not be replaced. Use of a gift card is subject to these Terms and any additional terms displayed at the time of purchase or redemption.

8. Social Features & User Content

Shop It includes social features such as wishlists, follows, comments, friend activity feeds, and gift sending. Content you create or share through these features ("User Content") may be visible to other users by default. You are solely responsible for your User Content and the consequences of sharing it.

By posting User Content, you grant Shop It a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, and otherwise use that content in connection with operating and promoting the Services. You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.

We reserve the right, but have no obligation, to review, remove, or restrict User Content at our discretion, including content we consider unlawful, abusive, deceptive, infringing, or otherwise harmful.

9. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or to facilitate illegal activity
• Impersonate any person or misrepresent your affiliation with anyone
• Harass, threaten, defame, or abuse other users
• Post content that is hateful, sexually explicit, or otherwise objectionable
• Engage in fraudulent transactions, payment fraud, or chargeback abuse
• Scrape, crawl, or otherwise extract data from the Services without our written permission
• Interfere with the security or functionality of the Services
• Use the Services to send spam or unsolicited communications
• Circumvent any access controls, rate limits, or other technical measures

We may suspend or terminate your account for any violation of these rules, at our sole discretion and without prior notice.

10. Intellectual Property

The Shop It name, logo, app, website, and all related content (excluding User Content and merchant content) are the property of Shop It or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any part of the Services without our prior written consent.

11. Third-Party Services

The Services rely on third-party providers, including Shopify (commerce platform and checkout), Clerk (authentication), and others. Your use of these services is subject to their respective terms and privacy policies. Shop It is not responsible for the practices of third-party providers.

12. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOP IT, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the accuracy, completeness, or reliability of any content on the Services, the availability of products listed by merchants, or that the Services will be uninterrupted, secure, or error-free.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SHOP IT AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid Shop It in the 12 months preceding the claim, or $100, whichever is greater.

14. Indemnification

You agree to indemnify and hold harmless Shop It, its affiliates, officers, employees, and partners from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your User Content, or your violation of these Terms.

15. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services at our discretion, including for violation of these Terms. Provisions that by their nature should survive termination (such as ownership, disclaimers, limitations of liability, and indemnification) will survive.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version with an updated "Last updated" date. Material changes will be communicated through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.
